Dear Members of the National Assembly ESG Forum, FSC and KSSB

Subject: Amendments to the Capital Markets Act to Introduce Mandatory Sustainability-Related Disclosures

The International Corporate Governance Network (ICGN) would like to offer its perspective on the proposed amendments to the Capital Markets Act, that introduce mandatory sustainability-related reporting, proposed on 5 February 2026.

Led by investors responsible for assets under management of over US$ 90 trillion, ICGN promotes high standards of corporate governance and investor stewardship globally. Our membership is based in more than 40 countries and comprises asset owners, asset managers and advisers.

ICGN supports the proposed amendments to the Capital Markets Act introducing mandatory sustainability-related disclosures and looks forward to publication of the ESG Disclosure Roadmap by the Financial Services Commission related to the amendment.

We welcome the introduction of the disclosure requirements through legislation (under the Capital Markets Act) which helps provide legal clarity and ensure alignment with international standards and allows for the introduction of exemption provisions.

ICGN recommends the adoption of the International Sustainability Standards Board (ISSB) standards to achieve the “alignment with international sustainability disclosure standards” stipulated in the amendment.

Investors have been calling for comparable, reliable and verifiable corporate sustainability disclosures, grounded in financial materiality, to make informed investment and stewardship decisions, and for their own reporting to beneficiaries. Global adoption of the ISSB standards is key to achieve this. We believe the adoption of ISSB standards will contribute to greater transparency on companies’ exposure to and management of sustainability risks and opportunities and represents an important step for efficient capital markets.

Finally, we encourage Korean companies to disclose information to their investors in a timely and comprehensive manner. We see the benefits of disclosing information related to corporate governance and sustainability in a single report, to be published at the same time as the company’s financial statements.

제목: 지속가능성 공시 의무화를 위한 자본시장법 개정안 지지

국회ESG포럼 민병덕 의원님, 금융위원회 이억원 위원장님, 한국회계기준원 이한상 원장님 제위,

국제기업거버넌스네트워크(International Corporate Governance Network, 이하 “ICGN”)는 2026년 2월 5일에 발의된 자본시장법 개정안(지속가능성 공시 의무화)에 대한 의견을 제시하고자 합니다.

ICGN은 90조 달러 이상의 자산을 운용하는 투자자들이 주도하는 전 세계적으로 높은 수준의 기업 지배구조와 투자자 스튜어드십 활동을 장려하는 권위있는 기관입니다. ICGN 회원은 40개국 이상에 걸쳐 300개 이상의 자산 소유자, 자산 운용사 및 자문기관으로 구성되어 있습니다.

ICGN은 지속가능성 관련 의무 공시를 도입하는 ‘자본시장법 개정안’을 지지하며, 개정안과 연계된 금융감독위원회의 ‘ESG 공시 로드맵 발표’를 기대합니다.

ICGN은 법률(자본시장법에 의거)을 통한 공시 요건 도입을 환영합니다. 이는 법적 명확성을 제공하고 국제 표준과의 조화를 보장하며, 면제 조항 도입을 가능하게 합니다.

ICGN은 개정안에 명시된 “국제 지속가능성 공시 표준과의 정합성”을 달성하기 위해 국제지속가능성표준위원회(International Sustainability Standard Board, 이하 “ISSB”) 표준을 채택할 것을 권고합니다.

투자자들은 정보에 기반한 투자 및 스튜어드십 관련 의사결정을 내리고, 수익자들에게 보고하기 위해 재무적 중요성에 기반한 비교 가능하고 신뢰할 수 있으며 검증 가능한 기업의 지속가능성 정보 공개를 요구해 왔습니다. ISSB 기준의 전 세계적인 채택은 이러한 목표를 달성하는 데 핵심적인 역할을 합니다. ISSB 기준의 채택은 기업의 지속가능성 위험 및 기회에 대한 노출과 관리 방식에 대한 투명성을 높이고 효율적인 자본 시장을 위한 중요한 발걸음이 될 것이라고 생각합니다.

마지막으로, 한국 기업들이 투자자들에게 시의적절하고 포괄적인 정보를 공개할 것을 권장합니다. 기업 지배구조 및 지속가능성과 관련된 정보를 재무제표와 동시에 발표되는 ‘단일 보고서’에 담아 공개하는 것이 유익하다고 생각합니다.

Will co-leads the climate change theme at EOS, the stewardship arm of Federated Hermes Limited, where his coverage includes companies in Europe and Australia, primarily financial services, energy, chemicals, and materials. Prior to joining EOS, Will worked in the energy and infrastructure investment banking team at Macquarie Capital, where he specialised in renewable energy. Before that, Will held a number of roles across the UK climate policy space, including as a parliamentary researcher for Rt. Hon. Chris Skidmore MP on climate and energy issues, and as a climate and economic policy analyst at a diplomatic institute. He was appointed as a voluntary adviser to Rt. Hon. Alok Sharma MP, President of COP26, on preparations for COP26 after co-founding a Westminster climate policy group in 2019, which engaged MPs and Members of the House of Lords to advocate for more ambition on climate action in public policy. Will has a Bachelor’s degree (1st Class Honours) in Economics from the London School of Economics and Political Science.
