The International Corporate Governance Network (ICGN) appreciates the opportunity to comment on Publication of Draft Cabinet Orders and Cabinet Office Ordinances Pertaining to the Amendments to the Financial Instruments and Exchange Act, etc. of 2024. We are grateful to the Japan Financial Services Authority for their help and engagement with us to understand the English translations of the relevant documents.
Led by investors responsible for assets under management of over $90 trillion, ICGN is an authority on global standards of corporate governance and investor stewardship. Headquartered in London, our membership is based in more than 40 countries. ICGN’s Global Governance Principles and Global Stewardship Principles, written from an investor perspective, are widely used by our members in their company assessments and voting decisions, and by regulators when developing corporate governance rules.1
We understand that the goals of the amendment to the definition of an “act of material proposal” are designed to clarify the rules around acting in concert and therefore to create clarity on instances where institutional investors can safely engage with invested companies on a collaborative basis.
We generally agree that collaborative engagement can be beneficial in some circumstances and that the framework should exist in order to allow investors to do so, should they wish to, in a way that does not give rise to legal or compliance barriers or compliance issues.
We agree that the criteria set out to determine who needs to be consider joint holders are helpful.
However, we are concerned that some of the amendments in the Q&A, seeking to clarify the definition of an act of material proposal may have some unintended consequences, for example:
- Confusion may exist between the definitions of “suggesting” and “proposing” certain actions to companies. The line between suggesting something and proposing it is unclear as written. This may give rise to investors being confused as to what they are permitted to discuss in a normal course of business stewardship discussion.
- We believe that further clarity on the actions that would be considered to be “substantively request(ing)” would be helpful – for example, which of the following would be considered to be “substantive” Shareholder proposals, public campaigns (this would also need further defining (e.g., open letters, dedicated website, pressure through comments in media), pre-declaration of voting intentions and other actions that might be considered to be substantive.
- For example, we think that the government needs to clarify what is meant by something “being proposed in a manner that does not allow management discretion”.
- As a case study, explaining your voting policy, and therefore setting out an expectation of board composition, does sometimes imply that investors are asking for a change to the board composition in order to receive support for director elections and it is unclear from the draft Q&A document if this would therefore be considered a material proposal.
- Similarly, the rules around discussing cross shareholdings and encouraging companies to eliminate these positions are unclear and may give rise to investor concerns. Encouraging companies to reduce or eliminate cross shareholdings is a common investor stewardship request and we believe that this should not be discouraged.
- This is particularly important as there are instances where investors may own more than 5% of the shares of a company on their own, not as part of a collaborative engagement, and as such may feel restricted in what they are able to engage on with their investee companies without being subject to special enhanced reporting requirements.
We believe that the feedback loop between investors and companies is an important shareholder right, but also a key benefit of public market status for companies and that any amendment that even inadvertently disrupt that feedback process and the clear and open exchange of views between a company and its owners is unhelpful and not in the best interests of long-term value creation.

ただし、物質的提案行為の定義を明確にしようとするQ&Aの一部の改正により、一部の意図しない結果が生じる恐れがあります。例えば:
