Dear Financial Services Commission (FSC)

Subject: Draft Sustainability (ESG) Disclosure Roadmap

The International Corporate Governance Network (ICGN) would like to first express its support to the Financial Services Commission for resolving market uncertainties regarding the ‘Draft Sustainability (ESG) Disclosure Roadmap’ announced by the Financial Services Commission on February 25, 2026, and would like to present specific opinions through this letter.

Led by investors responsible for assets under management of over US$ 90 trillion, ICGN promotes high standards of corporate governance and investor stewardship globally. Our membership is based in more than 40 countries and comprises asset owners, asset managers and advisers.

ICGN previously delivered a Policy Letter to the Financial Services Commission on February 5, 2026, supporting the ‘Amendments to the Capital Markets Act to Introduce Mandatory Sustainability-Related Disclosure.’[1]

The key contents of the ICGN Letter were three points.

  1. ICGN welcomes the introduction of the disclosure requirements through legislation (under the Capital Markets Act) which helps provide legal clarity and ensure alignment with international standards.
  2. ICGN recommends the adoption of the International Sustainability Standards Board (ISSB) standards to achieve the “alignment with international sustainability disclosure standards” stipulated in the amendment.
  3. We encourage Korean companies to disclose information to their investors in a timely and comprehensive manner. We see the benefits of disclosing information related to corporate governance and sustainability in a single report, to be published at the same time as the company’s financial statements.

Based on the preceding ICGN Letter, we present the following opinions regarding the Financial Services Commission’s ‘Draft Sustainability (ESG) Disclosure Roadmap’:

  1. Disclosure Channels
    1. We recommend the prompt introduction of statutory disclosure based on the amendment of the Capital Markets Act.
    2. This provides legal clarity, ensures harmonization with international standards, and enables the introduction of disclaimer clauses.
  2. Timing and Scope of Disclosure
    1. Considering Korea’s economic standing and the maturity of its capital market, and to provide highly comparable information by industry, we recommend that companies with total assets of 2 trillion won or more be included as soon as possible.
  3. Third-Party Certification
    1. We believe third-party certification is important to ensure trust in the quality and reliability of companies’ sustainability reporting.
    2. Along with its prompt introduction, we recommend presenting the mandatory implementation timeline to the market.
  4. Disclosure Standards
    1. To achieve consistency with international sustainability disclosure standards, we recommend adopting the standards of the International Sustainability Standard Board (ISSB).

제목: 지속가능성(ESG) 공시 로드맵 초안

국제기업지배구조네트워크(International Corporate Governance Network, 이하 “ICGN”)는 2026년 2월 25일에 금융위원회에서 발표한 ‘지속가능성(ESG) 공시 로드맵 초안’ 발표에 대해 먼저 시장의 불확실성을 해소하려는 금융위원회의 노력을 지지하며, 본 서한을 통해 구체적인 의견을 제시하고자 합니다.

ICGN은 90조 달러 이상의 자산을 운용하는 투자자들이 주도하는 세계적으로 높은 수준의 기업 지배구조와 투자자 스튜어드십 활동을 장려하는 권위있는 기관입니다. ICGN 회원은 40개국 이상에 걸쳐 300개 이상의 자산 소유자, 자산 운용사 및 자문기관으로 구성되어 있습니다.

ICGN은 앞서 2026년 2월 5일 ‘지속가능성 공시 의무화를 위한 자본시장법 개정안’을 지지하는 정책서한(Policy Letter)을 금융위원회에 전달한 바 있습니다.[2]

ICGN 정책서한(Policy Letter)의 핵심 내용은 3가지 였습니다.

  1. ICGN은 자본시장법에 의거한 법정 공시 요건 도입을 환영하며, 이는 법적 명확성을 제공하고, 국제 표준과의 정합성을 보장하는데 도움이 됩니다.
  2. ICGN은 개정안에 명시된 “국제 지속가능성 공시 표준과의 정합성”을 달성하기 위해 국제지속가능성표준위원회(International Sustainability Standard Board, ISSB) 표준을 채택할 것을 권고합니다.
  3. ICGN은 한국 기업들이 투자자들에게 시의적절하고 포괄적인 정보를 공개할 것을 권장합니다. 기업 지배구조 및 지속가능성과 관련된 정보를 재무제표와 동시에 발표되는 ‘단일 보고서’에 담아 공개하는 것이 유익하다고 생각합니다.

앞서 전달한 ICGN 정책서한(Policy Letter)을 바탕으로 금융위원회의 ‘지속가능성(ESG) 공시 로드맵 초안’에 대한 의견을 다음과 같이 제시합니다.

  1. 공시 채널
    1. 자본시장법 개정에 기초한 법정 공시의 조속한 도입을 권고합니다.
    1. 이는 법적 명확성을 확보하고 국제 표준과의 조화를 보장하며, 면책 조항 도입을 가능하게 합니다.
  2. 공시 시기 및 대상
    1. 한국의 경제적 위상과 자본시장 성숙도를 고려하고, 산업별 비교가능성 높은 정보 제공을 위해, 연결기준 자산총액 2조원 이상 기업들이 조속히 포함될 수 있도록 권고합니다.
  3. 제3자 인증
    1. 제3자 인증은 기업의 지속가능성 보고의 질과 신뢰성을 확보하는데 중요하다고 생각합니다.
    1. 조속한 도입과 함께 의무화 시점을 시장에 제시할 것을 권고합니다.
  4. 공시 기준
    1. 국제 지속가능성 공시 표준과의 정합성을 달성하기 위해 국제지속가능성표준위원회(International Sustainability Standard Board, ISSB) 표준을 채택할 것을 권고합니다.

Will co-leads the climate change theme at EOS, the stewardship arm of Federated Hermes Limited, where his coverage includes companies in Europe and Australia, primarily financial services, energy, chemicals, and materials. Prior to joining EOS, Will worked in the energy and infrastructure investment banking team at Macquarie Capital, where he specialised in renewable energy. Before that, Will held a number of roles across the UK climate policy space, including as a parliamentary researcher for Rt. Hon. Chris Skidmore MP on climate and energy issues, and as a climate and economic policy analyst at a diplomatic institute. He was appointed as a voluntary adviser to Rt. Hon. Alok Sharma MP, President of COP26, on preparations for COP26 after co-founding a Westminster climate policy group in 2019, which engaged MPs and Members of the House of Lords to advocate for more ambition on climate action in public policy. Will has a Bachelor’s degree (1st Class Honours) in Economics from the London School of Economics and Political Science.
